These Terms of Use ("Terms") govern access to and use of the Kerith Church Management System (the "Service"), provided by Kerith ("Kerith", "we", "us", "our"). By creating an account, completing the setup wizard, or otherwise using the Service, the church and the individual acting on its behalf ("Customer", "you", "your") agree to these Terms. If you do not agree, do not use the Service.

1. The Service
Kerith is a subscription church management system covering member records, attendance tracking (manual, QR code, and optional fingerprint biometric check-in), finance and welfare fund management, reporting, and SMS communication. Each church operates on its own private subdomain (e.g. yourchurch.kerithapp.com), configured through a one-time setup wizard by the church's System Administrator.
2. Accounts & responsibilities
- The Customer's System Administrator is responsible for completing initial setup, replacing any temporary credentials issued at installation, and maintaining accurate church, financial-year, and settings information.
- The Customer is responsible for creating and managing user accounts for its staff, assigning appropriate roles (System Admin, Presiding Elder, Financial Secretary, Local Secretary, Ministry Leader, or Member), and revoking access when a staff member's role changes or ends.
- Each user is responsible for keeping their login credentials confidential, choosing a strong password, and notifying the Customer promptly of any suspected unauthorised access.
- The Customer is responsible for the accuracy of the data it enters into the Service, including member, financial, and attendance records.
3. Consent obligations
The Customer is solely responsible for obtaining any consent required by law before collecting or processing personal data through the Service, including but not limited to:
- Enrolling a member's fingerprint for biometric attendance (and for offering a non-biometric alternative);
- Sending SMS messages to members, visitors, or any other recipient;
- Recording information about minors, including obtaining parental or guardian consent where appropriate;
- Uploading photographs or other personal images of members and visitors.
Kerith provides the tools; the Customer determines how and on whom they are used, and bears responsibility for lawful use in its jurisdiction.
4. Acceptable use
You agree not to use the Service to:
- Send unsolicited, unlawful, defamatory, or misleading SMS messages, or messages to recipients who have not consented to receive them;
- Upload data you do not have the right to collect or store;
- Attempt to access another church's data, bypass access controls, or interfere with the security or operation of the Service;
- Reverse-engineer, resell, or white-label the Service without our prior written consent;
- Use the Service for any unlawful purpose.
We may suspend or terminate access for any account found in breach of this section.
5. Data ownership & export
As between Kerith and the Customer, the Customer owns all data it enters into the Service, member records, financial records, attendance data, and communications. Kerith does not claim ownership of Customer data and will not share one church's data with another. On request, and subject to reasonable verification of identity, we will assist a Customer in exporting its data or will delete it in line with our Privacy Policy.
6. Fees
Access to the Service is provided under the commercial terms agreed separately between Kerith and the Customer (for example, in a quote, order form, or onboarding agreement). Where fees apply, they are payable as set out in that agreement. Continued use of the Service is conditional on fees, where applicable, being paid on time.
7. Third-party services & hardware
Certain features depend on third parties or hardware outside Kerith's direct control:
- SMS delivery is provided through GiantSMS. Message delivery, timing, and cost are subject to that provider's network and terms.
- Biometric attendance requires a compatible fingerprint reader and the Kerith Biometric Bridge software installed on a computer the Customer controls. Kerith is not responsible for the performance of third-party hardware.
We are not liable for outages, delays, or errors caused by these third-party services or hardware.
8. Availability, backups & support
We aim to keep the Service available and to back up Customer data automatically (nightly, by default), but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, or circumstances beyond our reasonable control may affect availability. Backups are a safeguard, not a substitute for the Customer maintaining its own reasonable records where practical.
9. Intellectual property
The Service, including its software, design, and branding, is owned by Kerith and protected by applicable intellectual property laws. These Terms grant the Customer a limited, non-exclusive, non-transferable right to use the Service for its internal church administration purposes, no other rights are granted.
10. Disclaimer of warranties
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will be error-free or uninterrupted.
11. Limitation of liability
To the maximum extent permitted by law, Kerith will not be liable for indirect, incidental, special, or consequential damages arising from use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service is limited to the fees paid by the Customer for the Service in the twelve (12) months preceding the event giving rise to the claim, or, where the Service is provided at no charge, to a nominal amount.
12. Indemnification
The Customer agrees to indemnify and hold Kerith harmless from claims, damages, or expenses arising from the Customer's misuse of the Service, its failure to obtain required consents, or its violation of these Terms or applicable law.
13. Termination
Either party may terminate access to the Service in accordance with the commercial agreement between them, or, where no such agreement exists, with reasonable written notice. We may suspend or terminate access immediately for a material breach of these Terms, including a breach of the Acceptable Use section. On termination, the Customer may request export of its data within a reasonable period, after which it may be deleted in line with our Privacy Policy.
14. Governing law
These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Ghana.
15. Changes to these Terms
We may update these Terms from time to time. We will update the effective date at the top of this page, and for material changes, we will make reasonable efforts to notify Customers in advance. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
